Terms and Conditions (AIL)
Please read the Extranet Terms carefully before You start to use the Extranet, as these will apply to Your use of the Extranet. We recommend that You print a copy for future reference.
These Extranet Terms supplement the Conditions of Use of the Website and Your TOBA. In the event of a conflict between:
- the Extranet Terms and the Conditions of Use, the Extranet Terms will prevail but only to the extent of the conflict; and/or
- the Extranet Terms and the TOBA, the Extranet Terms will prevail but only to the extent of the conflict.
If You do not agree to the Extranet Terms, You must not use the Extranet and You should click on the "I do not Agree" button which appears at the end of this document. By doing so, You will return to Our home page.
If You agree to the Extranet Terms, You should click on the "I Agree " button which appears at the end of this document. You will then be able to access all the information in the Extranet. Please note the Extranet Terms apply to all online proposal forms You complete and requests for quotation You submit to Us.
CHANGES TO THE EXTRANET TERMS:
We may revise the Extranet Terms at any time by amending this page. You are advised to check this page from time to time to take notice of any changes We make, as they are legally binding on You. Some of the provisions contained in the Extranet Terms may also be superseded by provisions or notices published elsewhere on the Website.
In the Extranet Terms We use certain defined terms as follows:
- “We”, “Our”, “Us” means Ageas Insurance Limited a company registered in England (company number 00354568);
- “Website” means ageas.co.uk and/or Optima Online, Ageas Insurance Limited Extranet, Ageas Insurance Solutions Extranet or Ageas Protect Extranet;
- “You”, “Your” refers to any user of the Extranet.
YOUR ACCOUNT AND PASSWORD
If You choose, or You are provided with, a user identification code, password or any other piece of information as part of Our security procedures, You must treat such information as confidential. You must not disclose it to any third party.
We have the right to disable any user identification code or password, whether chosen by You or allocated by Us, at any time, if in our reasonable opinion You have failed to comply with any of the provisions of the Extranet Terms.
If You know or suspect that anyone other than You knows Your user identification code or password, You must promptly notify Us at email@example.com
This Extranet is intended for use only by businesses resident in the United Kingdom.
This Extranet is designed for use between business users to facilitate a business transaction, and by requesting us to give a quotation for insurance cover for Your client(s) You agree to opt out of any requirements which may be applicable to business-to-business on-line transactions under the Electronic Commerce (EC Directive) Regulations 2002, such opt-out being permissible under those Regulations.
The email address provided as part of Your user log on registration details will be used on occasion to provide You with information regarding updates to the Extranet.
We provide the Extranet as a free service.
We do not guarantee that the Extranet or any content on it, will always be available or be uninterrupted. Access to the Extranet is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of the Extranet without notice. We will not be liable to You if for any reason the Extranet is unavailable at any time or for any period.
The information on this Extranet is intended only as a guide to Our business, products and services. We offer no warranty of the accuracy or reliability of the information. You should not rely on the information on the Website.
We expressly exclude any warranty, term or condition which might be implied by statute, common law, custom or otherwise as to quality or fitness for purpose of the Extranet or the information on it, the accuracy or reliability of such information or the availability of the Extranet.
In the Extranet certain links, including hypertext links, may lead You to other websites (“Third Party Sites”). These links are provided for Your information and convenience and the inclusion of any link does not imply endorsement by Us of any Third Party Site. You access those websites and that information at Your own risk.
We reserve the right to reject any proposal for insurance received by Us as a result of Your use of the Extranet.
Nothing in the Extranet Terms excludes or limits Our liability for death or personal injury arising from Our negligence, or Our fraud or Our fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
To the extent permitted by law, We exclude all conditions, warranties, representations or other terms which may apply to the Extranet or any content on it, whether express or implied.
We will not be liable to any user for any loss or damage, whether direct or indirect, in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, You may suffer or incur as a result of:
- use of, or inability to use, the Extranet;
- use of or reliance on any content displayed on the Extranet or any linked website;
- use of the Extranet or any linked website;
- the interference by third parties in the data transaction between You and Us when You use the Extranet; and/or
- any other loss or damage connected with Your use of the Extranet.
You must ensure that Your input of data to the Extranet is accurate and not misleading.
We will collate the information which You give to Us in the proposal form to provide You with Our on line quotation service. By giving Us this information, You consent to Our use of it in order to process Your proposal.
The information on the Extranet is contained in software which enables You to view the information when You connect to the Extranet. You have a nonexclusive, non-transferable right to use that software on one computer.
You must not copy, distribute, transmit, modify or make a derivative work of the software without Our written permission. You may not assign, sub-licence or transfer Your right to use the software.
You will indemnify and keep Us indemnified from and against all losses, costs, liabilities, expenses (including legal expenses), claims, fines We may suffer or incur as a result of Your default of any of the obligations expressed or implied in these Extranet Terms.
You may create hyperlinks to the Extranet only:
- with our express permission in writing; and
- if the link is addressed to the index page.
The Extranet Terms, their subject matter and formation (and any non-contractual disputes or claims) are governed by English law. You and We both agree to the exclusive jurisdiction of the courts of England and Wales.
The Extranet Terms replace any prior terms, conditions or understandings between Us and You relating to Your use of the Extranet.
If any provision of the Extranet Terms shall be found to be unlawful, void or for any purpose unenforceable that particular provision shall be severed and shall not affect the validity and enforceability of the remaining Extranet Terms.
